Terms of Service

The agreement between you and Algorix for using our websites, client portal, managed private n8n hosting, integrations, and subscriptions.

01

Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of algorix.online, the Algorix client portal, and the workflow automation, integration, deployment, and support services we provide (collectively, the “Services”).

By creating an account, starting a trial, subscribing to a plan, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

If you do not agree to these Terms, do not use the Services.

02

The Services

Algorix designs, deploys, and maintains managed private n8n infrastructure. Depending on your plan, the Services may include private n8n hosting, workflow configuration, API integration, monitoring, maintenance, backups, and access to a client portal.

The Services are intended solely for internal business operations and system-to-system data flow. Use of the Services is subject to our Acceptable Use Policy, which sets out the permitted scope and prohibited activities.

We may improve, modify, or discontinue features from time to time. We will give reasonable notice of material changes that adversely affect a paid subscription. Any professional services, custom development, or enterprise deployment may be governed by a separate statement of work or order form, which prevails over these Terms in case of conflict.

03

Accounts and access

You must provide accurate account information, keep it current, and be at least 18 years old (or the age of majority in your jurisdiction). Authentication is provided through Firebase, and you are responsible for all activity under your account.

You must keep credentials confidential, use least-privilege accounts, and notify us promptly at contact@algorix.online if you suspect unauthorized access. We may suspend access if we reasonably believe there is a security risk or a violation of these Terms.

04

Subscriptions, fees, and payment

Paid plans are billed monthly in advance in U.S. dollars at the prices published on our pricing page. Current plans include Starter Node at US$20 per month and Growth Cluster at US$60 per month. Prices exclude applicable taxes unless stated otherwise. Paid checkout is completed after onboarding on Lemon Squeezy’s hosted checkout.

Subscriptions renew automatically each month until cancelled. You may cancel at any time from the client portal or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until then, unless applicable law or our Refund Policy provides otherwise.

If a payment fails, we or our payment provider may retry it and may suspend the Services after notice. You are responsible for applicable taxes, duties, and bank or currency-conversion charges. We may change plan prices with at least 30 days’ notice; the new price applies to your next renewal, and you may cancel before it takes effect.

05

12-day free trial

The free trial is a standalone 12-day evaluation with one private test workflow, limited to one per customer unless we agree otherwise. A trial starts when the trial environment is activated. At the end of the trial, access to the trial features ends unless you confirm a paid plan; we do not automatically charge a payment method when the trial ends. We may modify or end a trial if we reasonably believe it is being abused.

06

Client responsibilities

You are responsible for the data, credentials, instructions, and third-party accounts you provide. You must:

  • have a lawful basis to process any personal data you submit, and provide all required notices and consents;
  • use least-privilege credentials and never send root passwords or unnecessary secrets;
  • comply with the terms of any third-party platform or API you ask us to integrate, including model providers, CRM, ERP, email, and cloud providers;
  • review and test workflows and automated outputs before relying on them in production; and
  • avoid submitting special-category, health, financial-account, or other highly sensitive data unless we have agreed in writing to appropriate safeguards.

You remain responsible for your own compliance obligations, including privacy, consumer, employment, anti-spam, and sector-specific rules.

07

Acceptable use

You must comply with our Acceptable Use Policy, which forms part of these Terms and sets out the permitted scope and prohibited activities.

You must also not use the Services to:

  • send cold, unsolicited, or mass marketing messages, spam, or operate outbound sales, prospecting, appointment-setting, or lead-generation campaigns;
  • scrape, harvest, extract, purchase, rent, or enrich contact lists, email lists, or personal data for the purpose of unsolicited marketing or sales contact;
  • violate any law or the rights of any person;
  • transmit malware, conduct unauthorized scanning or attacks, or interfere with the Services or third-party systems;
  • generate or distribute unlawful, deceptive, harassing, or infringing content;
  • use the Services to make or influence decisions about a natural person — including decisions about employment, credit, housing, healthcare, insurance, or access to essential services;
  • reverse engineer, resell, sublicense, or provide the Services to third parties except as expressly permitted;
  • circumvent usage limits, security controls, or fees; or
  • use the Services in a way that could reasonably harm Algorix, our other customers, or third parties.

We may suspend or terminate access for material or repeated violations, or where required by law or a third-party provider. We may also report prohibited activity to the relevant authorities or platform providers.

08

Automated outputs and no professional advice

Some workflows may use automated processing or third-party models. Automated outputs may be incomplete or inaccurate, and may not reflect current facts. You are responsible for human review, testing, and the ultimate use of any output.

Algorix does not provide legal, financial, medical, tax, or other professional advice. Any guidance we provide is operational and technical, and should not be relied on as professional advice.

09

Intellectual property

As between you and Algorix, you own your input data, your business data, and the outputs generated for your workflows, subject to the terms of any third-party providers. You grant us the rights necessary to process that data to provide the Services.

We own the Algorix name, website, platform, templates, tooling, documentation, and pre-existing materials, together with our general know-how and methods. Upon full payment, you receive a perpetual, non-exclusive licence to use the custom configurations and deliverables we create for you, to the extent they incorporate our pre-existing materials.

Automated outputs may not be unique and may be similar to outputs generated for others. We do not guarantee exclusivity. If you provide feedback, you grant us a non-exclusive, royalty-free licence to use it to improve the Services.

10

Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and advisers who need to know and are bound by confidentiality obligations. These obligations do not apply to information that is public, independently developed, or lawfully received from a third party, or to disclosures required by law (with prompt notice where permitted).

11

Data protection

We process personal data as described in our Privacy Policy. Where we process personal data on your behalf, we do so as a processor or service provider, and you are the controller. We will implement appropriate technical and organizational measures and will enter into a data processing agreement on request. You are responsible for providing required notices and obtaining consents for data you submit.

12

Third-party services

The Services may connect to third-party platforms, APIs, and models. We do not control those services and are not responsible for their availability, outputs, security, or terms. Your use of a third-party service is between you and that provider. If a provider changes its terms or restricts access, we may suspend or adjust the affected integration.

13

Warranties and disclaimers

We will perform the Services with reasonable skill and care and in material accordance with the applicable plan or statement of work. To the maximum extent permitted by law, the Services are otherwise provided “as is” and “as available,” and we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that automated outputs will be accurate or suitable for your purposes.

Nothing in these Terms limits any warranty or right that cannot be excluded under applicable consumer law.

14

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the fees you paid to Algorix for the Services giving rise to the claim in the 12 months before the event giving rise to liability (or US$100 if you used the Services free of charge).

These limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury, your payment obligations, or any liability that cannot be limited by law.

15

Indemnification

You will defend and indemnify Algorix against third-party claims, losses, and reasonable costs arising from your data, your use of the Services in violation of these Terms or applicable law, or your breach of a third-party provider’s terms. We will defend and indemnify you against third-party claims that our original deliverables infringe intellectual property rights, provided you promptly notify us and allow us to control the defence. This does not apply to claims arising from your data, modifications, or combination with third-party materials.

16

Term, suspension, and termination

These Terms apply for as long as you use the Services or maintain an account. You may cancel your subscription at any time as described above. We may suspend or terminate access immediately for material breach, non-payment, security risk, or unlawful use, or with 30 days’ notice for convenience.

On termination, your right to use the Services ends. For 30 days after termination, you may request an export of your data, after which we may delete it in accordance with our Privacy Policy and legal retention obligations. Provisions that by their nature should survive, including payment, intellectual property, confidentiality, disclaimers, liability, and governing law, will survive.

17

Changes to these Terms

We may update these Terms from time to time. We will post the revised version and update the date above. For material changes, we will provide reasonable notice (for example, by email or in the client portal). Continued use after the effective date means you accept the revised Terms. If you do not agree, you may cancel before the changes take effect.

18

Governing law and disputes

These Terms and any dispute arising out of or in connection with them are governed by the laws of the jurisdiction in which Algorix is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court, and consumers may bring proceedings in their country of residence where mandatory law allows.

Before starting formal proceedings, we encourage you to contact us at contact@algorix.online so we can try to resolve the issue informally within 30 days.

19

General

  • Entire agreement. These Terms, together with any order form, statement of work, and policies referenced here, are the entire agreement between us.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
  • Severability and waiver. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations.
  • Notices. We may send notices to the email address on your account or through the client portal. Notices to us must be sent to contact@algorix.online.
  • Independent parties. The parties are independent contractors; these Terms do not create a partnership, joint venture, or employment relationship.
